TERMS AND CONDITIONS OF DISPLAY ADVERTISING AGREEMENT

BILLING AND PAYMENT
100% due with signed Order.


PRODUCTION CHARGES
Customer accepts full resposnibility to submit appropriate Advertising Materials, as set forth in ADVERTISING MATERIALS


PARTICULARS printed on the reverse of this Agreement. It is Customer’s obligation to deliver all Advertising Materials to Publisher by the DUE DATE listed above. Customer is liable in full for total Advertising Charges in the event that Customer’s Advertisement is not run due to Customer’s failure to meet Publisher’s Due Date set forth above.


GENERAL POLICIES
Display advertising is sold on a first-come, first-served basis. All advertising is subject to the approval of Publisher. Publisher agrees to give faithful reproduction of Customer-supplied artwork that complies to Publisher’s Particulars set forth on reverse of Agreement, and to use reasonable care to preclude omissions and errors displaying Customer's information. Publisher warrants and limits its liability to the amount paid by the Customer. Publisher reserves the right to substitute suitable ad content in the event Customer’s art is late.

This Agreement is subject to the laws of Kitsap County in the State of Washington and is the complete and entire Agreement between the parties. In the event of any dispute, all parties agree to waive court litigation in favor of arbitration, with the prevailing party entitled to reasonable attorney's fees.


RELEASE, INDEMNIFICATION & COLLECTIONS Client is purchasing advertising on Publisher’s Map products and as such, agrees to release all reproductive rights of all copyrighted and/or proprietary material submitted to Publisher for inclusion on Pubisher’s maps and other advertising, map-related products. The Customer agrees to indemnify and hold harmless the publisher against all loss, liability and expense associated with all aspects of printing and publishing of Customer’s Advertisement.


Any overdue balance showing on Customer's account will be charged a Finance Charge of one percent (1%) per month, and such amount will be added to Customer's statement, and Customer agrees to pay such Finance Charges as well as all costs associated with collection including legal and/or arbitration fees and third-party Court costs.
